1. Investment professionals
Investment professionals are persons falling within the description below who have professional experience in matters relating to investments or investment activity to which this promotion relates and this promotion is available only to such persons or will be engaged in only with such persons and persons who do not have professional experience in matters relating to investments should not rely on it.
Investment professional means:
(a) an authorised person;
(b) an exempt person when the promotion relates to a controlled activity which is a regulated activity in relation to which the person is exempt;
(c) any other person:
i. whose ordinary activities involve him/her in carrying on the
controlled activity to which the promotion relates for the
purposes of a business carried on by him or her; or
ii. who it is reasonable to expect will carry on that activity for
the purposes of a business carried on by him or her;
(d) a government, a local authority (whether in the UK or elsewhere) or an international organisation;
(e) a person (“A”) who is a director, officer or employee of a person (“B”) falling within any of (a) to (d) where the financial promotion is made to A in that capacity and where A’s responsibilities when acting in that capacity involve him in the carrying on by B of controlled activities.
2. Certified high net worth individuals
An individual who has signed, within the period of twelve months ending with the day on which this promotion is made, a statement complying with Part I of Schedule 5 to the Order declaring themselves to be a certified high net worth individual for the purposes of the Order.
3. High net worth companies, unincorporated associations
Means:
(a) a body corporate which has a called-up share capital or net assets of not less than (i) if more than 20 members, £500,000; (ii) otherwise, £5m;
(b) any unincorporated association or partnership which has net assets of not less than £5m;
(c) the trustee of a high value trust (where the aggregate value is £10m or more; or has been £10m or more during the year immediately preceding the date of this communication In relation to any description of investment, means a person who has a current certificate in writing or other legible form signed by an authorised person to the effect that he/she is sufficiently knowledgeable to understand the risks associated with that description of investment and who has signed, within the period of twelve months ending with the day on which the promotion is made, a statement complying with article 50 of the Order).
4. Certified Sophisticated Investor

In relation to any description of investment, means a person who has a current certificate in writing or other legible form signed by an authorised person to the effect that he/she is sufficiently knowledgeable to understand the risks associated with that description of investment and who has signed, within the period of twelve months ending with the day on which the promotion is made, a statement complying with article 50 of the Order).

5 . Self-Certified Sophisticated Investor
An individual who has signed, within the period of twelve months ending with the day on which this promotion is made, a statement complying with Part II of Schedule 5 to the Order declaring Themselves to be a self-certified sophisticated investor for the purposes of the Order

6. Associations of high net worth or sophisticated investors
An association, or member of an association, the membership of which we believe on reasonable grounds comprises wholly or predominately persons who are certified high net worth individuals within the meaning of article 48 of the Order, high net worth persons within article 49(2)(a) to (d), certified or self-certified sophisticated investors within the meaning of article 50 or 50A AND where the promotion relates only to an investment under the terms of which a person cannot incur a liability or obligation to pay or contribute more than he commits by way of investment w
